We are seeking an associate attorney with significant M&A experience from an Amlaw 100 law firm. <strong>ATTORNEY RESPONSIBILITIES:</strong>

<ul>
<li style="padding: 0;margin: 0;">Review merger, stock and asset purchase agreements, disclosure schedules and closing documents;and performing due diligence and drafting related memoranda;</li>
<li style="padding: 0;margin: 0;">Drafting organizational documents, including provisions relating to common and preferred stock;subscription, shareholders, partnership and limited liability company operating agreements;investor rights, voting, right of first refusal and co-sale and indemnification agreements;joint venture documentation;and general corporate contracts;and</li>
<li style="padding: 0;margin: 0;">Drafting loan and security agreements, notes, pledge and control agreements, collateral assignment documents, guarantees and inter-creditor agreements;and convertible note and bridge loan documents, all a plus.</li>
</ul>
<strong>Producer Responsibilities:</strong>

<li style="padding: 0;margin: 0;">Use existing contacts and develop new contacts with PE and Law Firms to originate new business</li>

The Marketing Department of my client has an opening for a Business Development (BD) Manager in the Washington, DC or New York office. The BD Manager is responsible for managing the creation and implementation of business development strategies for the Complex Litigation, Securities Enforcement & Litigation, and Appellate & Supreme Court practices, as well as an industry sector. The BD Manager serves as the primary liaison between the practice group and the Marketing Department, and is responsible for coordinating the resources of the Marketing Department and other firm resources in implementation of business development plans. The BD Manager will work closely with the Practice Group leaders and attorney members to develop plans, execute pitches and proposals, and manage day-to-day business development activities to ultimately grow the Complex Litigation, Securities and Appellate practices. <br>
<br>
RESPONSIBILITIES:
<ul>
<li style="padding: 0;margin: 0;">Serving as a trusted advisor to the lawyers in the Complex Litigation, Securities Enforcement & Litigation, and Appellate & Supreme Court practice groups. Collaborating with the attorneys to develop business plans and marketing strategies for implementation,</li>
<li style="padding: 0;margin: 0;">Identifying trends and opportunities, and developing new business approaches as well as targeting cross selling opportunities. Creating customized pitch materials for specific opportunities.</li>
<li style="padding: 0;margin: 0;">Working closely with lawyers to develop individual business development plans. Providing regular check in and follow up with coaching as necessary to ensure success. </li>
<li style="padding: 0;margin: 0;">Collaborating with the Director of Business Development to develop and manage initiatives across the litigation department including class actions, multi-district litigations, and trials.</li>
<li style="padding: 0;margin: 0;">Collaborating with the Director of Business Development to develop multi-disciplinary new business pitches and responses to RFPs.</li>
<li style="padding: 0;margin: 0;">Managing business development efforts of an industry sector or initiative, including client collaboration plans, events, and other strategies for visibility raising and business growth.</li>
<li style="padding: 0;margin: 0;">Collaborating with Business Development Managers across all practice/industry groups and offices to identify or develop cross-selling opportunities. </li>
<li style="padding: 0;margin: 0;">Managing RFPs, pitches and proposals from initial planning with the attorney team through to final submission.</li>
<li style="padding: 0;margin: 0;">Working closely with practice leaders and Practice Management to develop effective practice group meeting agendas and ensuring follow up through communication of minutes and agreed upon action items.</li>
<li style="padding: 0;margin: 0;">Coordinating with event planning staff to identify, sponsor or create targeted industry conferences, in-house client seminars/webinars, speaking engagements and other special events for the Practice Group. Identifying targets and working with the Mailing List team to identify or create appropriate lists.</li>
<li style="padding: 0;margin: 0;">Coordinating with the Market Research team to secure the necessary business development research (including client, industry and competitive intelligence). </li>
<li style="padding: 0;margin: 0;">Using Interaction to identify and confirm relationship targets.</li>
<li style="padding: 0;margin: 0;">Identifying work or issues that are potentially media-worthy for the Media Relations team to implement PR, directories and other media placements for the assigned groups.</li>
<li style="padding: 0;margin: 0;">Coordinating with the Marketing Communications team in the development of marketing materials and website content including practice area descriptions, brochures and PowerPoint presentations.</li>
<li style="padding: 0;margin: 0;">Leading the strategy and execution for directories and surveys such as Chambers and other ranking submissions.</li>
<li style="padding: 0;margin: 0;">Facilitating the integration of lateral partners and counsel into the Practice Group. Working closely with new laterals to ensure execution of their business development plans.</li>
<li style="padding: 0;margin: 0;">Developing and managing Practice Group budgets.</li>
<li style="padding: 0;margin: 0;">Working with the Practice Group to measure and report progress on business plans and business development efforts.</li>
<li style="padding: 0;margin: 0;">Working with key client teams associated with designated Practice Groups.</li>
<li style="padding: 0;margin: 0;">Supervising and mentoring the Business Development Coordinator and Assistant activities including pitch and proposal materials;updating to practice descriptions, experience items and attorney bios;directory submissions and event logistics.</li>
</ul>
QUALIFICATIONS:

<ul>
<li style="padding: 0;margin: 0;">Bachelor s degree required;Masters or J.D. Degree useful.</li>
<li style="padding: 0;margin: 0;">Minimum of 7 years of marketing experience;professional services or law firm background preferred, particularly in litigation.</li>
<li style="padding: 0;margin: 0;">Proficient in a range of computer software applications, including databases, MS-Word, MS-Excel, and MS-PowerPoint.</li>
<li style="padding: 0;margin: 0;">Experience with key research tools and databases, including experience, billing, client contacts and other web-based research tools.</li>
<li style="padding: 0;margin: 0;">Use of InterAction, Foundation and marketing databases required.</li>
<li style="padding: 0;margin: 0;">Excellent oral and written communications skills.</li>

Strategic, results-oriented business development manager will drive strategy and identify and implement initiatives for the corporate and financial institutions practice groups and the financial services industry group. This candidate will report to the firm's Assistant Director for Business Development for Corporate, and will work closely with practice group and industry group leaders, and with the broader Marketing and Business Development (BD) team to ensure effective client development, marketing, and external communications programs. Responsibilities include developing and executing intentional business development, marketing, and external communications programs for practice and industry groups.<br>

<u>Practice Group & Individual Lawyer Planning</u>

<ul>
<li style="padding: 0;margin: 0;">Consult with practice group leadership to develop and coordinate strategic business development plans for assigned groups and individuals, including fiscal year plans, individual goal statements, and specific business development initiatives;manage the implementation and execution of these plans and initiatives, and measure outcomes.</li>

<li style="padding: 0;margin: 0;">Coordinate specialist tracking of practice experience (including Corporate Transactions database) and successes for use in practice materials. On the website, in pitches and proposals, practice descriptions, and attorney biographies.</li>
<li style="padding: 0;margin: 0;">Assist with the editing, layout, and production of firm and practice group marketing materials.</li>
<li style="padding: 0;margin: 0;">Manage and coordinate the updating of website content, newsletters, brochures, and other external communication pieces.</li>

The Client Development Team is responsible for growing the Firm s key accounts as well as developing and maintaining client development best practices to be shared and leveraged throughout the Firm.<br>

As a Business Development Advisor, you will be responsible for coordinating the account management and sales efforts with the investment bank client teams. You will navigate the client and partner relationships, identify new opportunities to grow revenue, share best practices, and ensure the client teams are coordinated in all their efforts. The responsibilities of the Business Development Advisor will also include:

ESSENTIAL DUTIES AND RESPONSIBILITIES


<ul>
<li style="padding: 0;margin: 0;">Lead placement of RWI policies through the preparation of submissions and indication summaries, managing and overseeing the placement and underwriting process of RWI policies, negotiating RWI policies, assisting, supporting, and advising clients and senior brokers through the RWI underwriting process, and other related responsibilities.</li>
<li style="padding: 0;margin: 0;">Assist in prospect opportunities by attending national meetings set by production staff.</li>
<li style="padding: 0;margin: 0;">Collaborate with other RWI team members to establish and/or maintain protocols on submissions, policy comments, underwriting, etc.</li>
<li style="padding: 0;margin: 0;">Attend RWI, legal, PE-oriented, or other M&A/RWI industry seminars, conferences, and events.</li>
<li style="padding: 0;margin: 0;">Design and lead branding initiatives to increase awareness of the firm's RWI presence in M&A community through creating marketing material, leading PR initiatives, and hosting educational events.</li>
<li style="padding: 0;margin: 0;">Assist in the development and maintenance of relationships with law firms who have created dedicated RWI practices or centers of expertise.</li>
<li style="padding: 0;margin: 0;">Conduct internal educational RWI webinars.</li>
<li style="padding: 0;margin: 0;">Support claims team in review, negotiation, and settlement of RWI claims.</li>
<li style="padding: 0;margin: 0;">Develop and maintain relationships with all key insurance carriers and RWI underwriters nationally and globally.</li>
<li style="padding: 0;margin: 0;">Develop and maintain deep understanding of RWI policies and broking/underwriting process.</li>
<li style="padding: 0;margin: 0;">Develop and execute RWI industry survey.</li>
<li style="padding: 0;margin: 0;">Create and/or maintain database and cloud-based repository of RWI policy placements tracking key metrics.</li>
<li style="padding: 0;margin: 0;">Create and/or assist in the creation of quarterly newsletters or state of market updates and include the firm s activity with relevant statistics.</li>
<li style="padding: 0;margin: 0;">Partner with producers and participate in meetings with M&A law firms, PE firms, and corporate clients.</li>
<li style="padding: 0;margin: 0;">Attend private equity new business opportunities.</li>
<li style="padding: 0;margin: 0;">Participate in RWI seminars or webinars.</li>
<li class="MsoHeader" style="margin-left: 8px">Comply with agency management system data standards and data integrity (enter and maintain complete and accurate information).</li>

EDUCATION / EXPERIENCE

The Marketing department has an excellent opportunity for a Marketing Manager for the Litigation Practice Group in the Washington, D.C. Office. This is an exempt position that supports and reports directly to the Director of Business Development for Litigation. This role will primarily support the Litigation Group s Appellate and Major Motions Team, International Arbitration and Litigation Team, and International Trade Team.<br>
<strong>Responsibilities: </strong><br>
 Support relevant practice teams marketing efforts as outlined in their strategic plans, including organizing monthly team meetings and working with team leaders to identify and pursue client opportunities and reputation building activities that will make the teams more profitable.<br>
 Maintain a strong knowledge of the legal market and the litigation capabilities of the firm nationwide, applying this knowledge to maximize the effectiveness of marketing initiatives.<br>
 Manage relevant RFP/proposal responses and pitch meeting preparations, including: gathering and analyzing existing materials, providing competitive intelligence in conjunction with the research team, identifying and gathering firmwide human resources and financial information, liaising with attorneys to write new content, managing proofreading, gaining final department and lawyer approvals, and coordinating the printing and timely delivery of materials.<br>
 Collaborate with the practice team leaders, other partners, and marketing department personnel to create, maintain and update accurate and effective website content, brochures, practice profiles, announcements, Proposal Database information and other marketing collateral for the assigned practice teams.<br>
 Plan and execute relevant practice team client events such as webinars, conferences, speaking engagements, memberships, sponsorships and other events. This includes vetting opportunities, establishing and managing budget, site selection, development of invitations and management of invitation lists, managing ad production, event logistics, site set-up, CLE planning and post event follow-up.<br>
 Work closely with the Public Relations and Communications teams to identify and leverage media opportunities, publish effective and timely client alerts, and support firm blogs. Liaise with the Communications Team to prepare Chambers, Legal 500 and other submissions to rankings and directories contributing to established team goals and objectives.<br>
 Track numerous areas of practice and service activity, including but not limited to collection of matter summaries for use in the department s experience database and various directory reporting efforts.<br>
 Support the integration of lateral attorneys, including bio creation and posting, firm photo, press release and intranet story, announcements, community involvement database, business development planning, and contacts integration.<br>
 Stay abreast of news about client development targets in order to suggest opportunities and approaches for client expansion or market penetration. In tandem with the Competitive Intelligence team, conduct research on such targets as needed. Contribute to monthly client development activity reports.<br>
 Respond to requests and questions from lawyers, administrative staff, and vendors;provide excellent customer service;and follow-through on requests to ensure needs are met.<br>

<strong>Requirements: </strong><br>
 Bachelor s degree in Business, Marketing or related field with a minimum of five (5) years of experience in professional services marketing. Law firm experience highly desirable.<br>
 Demonstrated proficiency in Microsoft Office Suite including Word, Outlook, Excel, and PowerPoint. Proven aptitude to learn new software applications.<br>
 Extremely high levels of attention to detail, as well as strong legal writing and proofreading skills. Excellent organizational and planning skills with the ability to manage major projects, multi-task and effectively prioritize.<br>

Experience with incident response (triaging, collection and analysis). Document and report and be able to provide expert witness testimony for investigations and litigations. Experience managing a team of examiners and mentoring same. The senior examiner must be able to utilize industry accepted forensic tools such as EnCase, FTK, and X-ways. <br>

<li style="padding: 0;margin: 0;">Design and lead branding initiatives to increase awareness of the firm's RWI presence in M&A community through creating marketing material, leading PR initiatives, and hosting educational events.</li>
<li style="padding: 0;margin: 0;">Assist in the development and maintenance of relationships with law firms who have created dedicated RWI practices or centers of expertise.</li>
<li style="padding: 0;margin: 0;">Conduct internal educational RWI webinars.</li>
<li style="padding: 0;margin: 0;">Support claims team in review, negotiation, and settlement of RWI claims.</li>
<li style="padding: 0;margin: 0;">Develop and maintain relationships with all key insurance carriers and RWI underwriters nationally and globally.</li>

The <b>eDiscovery & Litigation Support Analyst</b> is a critical part of the firm s eDiscovery Team and will provide eDiscovery and litigation technology support and assist with electronic document production and trial project management. The position will work with eDiscovery vendors, paralegals, bench attorneys, associates, partners, and other internal stakeholders. The candidate will need to interface directly with internal stakeholders and other department staff members to understand their needs in order to administer and conduct tasks accordingly.<br>

This is a non-exempt position and the annual salary range for this role is $90, 000 to $100, 000, commensurate with experience. This salary range reflects estimated base salary. Total cash compensation will be higher when factoring in overtime, year-end bonus and benefits<br>

<b>Responsibilities: </b>
<ul>
<li style="padding: 0;margin: 0;">Enter billable time entries, meeting expectation of 1400 annual billable hours</li>
<li style="padding: 0;margin: 0;">Communicate with project managers to establish and meet the end-users needs</li>
<li style="padding: 0;margin: 0;">Arrange database creation, management and troubleshooting, data import and export, eDiscovery data manipulation/conversion, imaging, electronic document production, and trial technology project management</li>
<li style="padding: 0;margin: 0;">Coordinate the development and maintenance of the Firm s databases through the exploitation of user, technical and administrative services</li>
<li style="padding: 0;margin: 0;">Process/load incoming production sets and documents into the Firms repository in a timely manner;maps data, manipulate and convert files, uploads and migrations of single records or production sets</li>
<li style="padding: 0;margin: 0;">Provide general reporting, customized reporting and specialized search creation</li>
